related_party_transactions — [table] transaction — Before meeting  Monthly Board meetings are held to ensure that the Board addresses all key issues on a timely basis.  All Board and Board committee meetings are scheduled in advance in consultation with the Directors to facilitate meaningful participation.  The agenda of Board meetings is carefully thought out and allows for flexibility when it is needed.  Directors are provided with comprehensive information in respect of agenda items in a timely manner.  When a Director is prevented from attending a Board or Board committee meeting in person, that Director can appoint an alternate.  Directors have the discretion to obtain independent advice whenever they require.
